Acquisition of Common Shares of Cyberplex Inc.


TORONTO, ONTARIO--(Marketwire - Nov. 26, 2012) - Between October 30, 2012 and November 21, 2012, Difference Capital Funding Inc. (TSX VENTURE:DCF) (the, "Offeror") acquired an aggregate of 12,620,000 common shares ("Shares") of Cyberplex Inc. (the, "Issuer"), representing approximately 9.90% of the total issued and outstanding Shares of the Issuer through a series of transactions described below.

Michael Wekerle (the "Associate"), an associate of the Offeror, previously owned 10,000,000 Shares of the Issuer, representing approximately 7.90% of the outstanding Shares.

Pursuant to applicable securities laws, the Offeror and the Associate are presumed to be acting jointly or in concert with regard to their respective ownership of Shares of the Issuer. The Offeror and the Associate together have ownership and control over 22,620,000 Shares, representing approximately 17.80% of the outstanding Shares.

On October 30, 2012, the Offeror acquired ownership of 2,500,000 Shares of the Issuer through the facilities of the Toronto Stock Exchange at an average price of $0.0519 per Share. On November 2, 2012, the Offeror acquired an additional 2,000,000 Shares through the facilities of the Toronto Stock Exchange at an average price of $0.0617 per Share. On November 13, 2012, the Offeror acquired an additional 4,398,000 Shares through the facilities of the Toronto Stock Exchange at an average price of $0.063 per Share. On November 21, 2012, the Offeror acquired an additional 3,722,000 Shares through the facilities of the Toronto Stock Exchange at an average price of $0.0677 per Share.

The Offeror acquired the Shares for investment purposes only. The Offeror and/or the Associate may in the future take such actions in respect of their respective holdings as deemed appropriate in light of the circumstances then existing, including the purchase of additional Shares or other securities of the Issuer through open market purchases or privately negotiated transactions, or the sale of all or a portion of his holdings in the open market or in privately negotiated transactions to one or more purchasers.
