Alaris Royalty Corp. Receives $7.5 Million from Centric for Partial Redemption of Preferred Units in Lifemark Health

Alaris Royalty Corp. ("Alaris" or the "Corporation") (TSX:AD) is pleased to announce that Centric Health Corporation ("Centric") has redeemed (the "Redemption") a further portion of the preferred partnership units ("LifeMark Units") of LifeMark Health Limited Partnership ("LifeMark") held by Alaris, for aggregate gross proceeds of $7.5 million (the "Proceeds").

Pursuant to the terms of the LifeMark Units, the annual distribution payable to Alaris (The "Distribution") will increase by 4% on July 1st of every year for so long as the LifeMark Units remain outstanding. Therefore, after giving effect to this year's 4% increase, and the Redemption, the Distribution to Alaris will be $3.96 million on an annualized basis as of July 1, 2013. The redemption value of the remaining LifeMark Units is now $35.5 million. This value will also increase by 4% on June 9th of every year (beginning on June 9, 2014) for so long as the LifeMark Units remain outstanding. In accordance with the terms of the LifeMark Units, Centric has the right to fully redeem the remaining LifeMark Units held by Alaris at any time upon 30 days written notice.

Prior to the Redemption, Alaris had approximately $31.0 million of debt drawn on its $50.0 million credit facility (the "Facility"). The Corporation will use the Proceeds from today's Redemption to reduce the balance outstanding on the Facility, leaving an undrawn balance of approximately $26.5 million to use for future contributions to new or existing private company partners.
