GardaWorld Completes Successful Private Offering of US$50 Million Senior Unsecured Notes Due 2017


MONTREAL, QUEBEC--(Marketwired - June 13, 2013) - Garda World Security Corporation "GardaWorld", one of the leading Security Solutions and Cash Logistics firms in the world, announced today that it successfully completed its previously announced private offering of US$50 million senior unsecured notes due 2017 (the "Notes").

"Our improved risk profile has secured a very attractive yield more than 100 bps lower than our previous notes, and obtained a favourable interest rate for the Corporation", said GardaWorld's Sr. Vice-President & Chief Financial Officer, Patrick Prince.

The offering of the Notes was made in a private transaction in reliance upon an exemption from the registration requirements of the Securities Act of 1933, as amended (the "Securities Act"), in the United States only to investors who are "qualified institutional buyers," as that term is defined in Rule 144A under the Securities Act, and outside the United States pursuant to Regulation S under the Securities Act and upon reliance on the accredited investor exemption in Canada.
