EXCHANGE NOTICE, 19 AUGUST 2013 SHARES
THE SHARES OF ETTEPLAN OYJ TO OBSERVATION SEGMENT
Etteplan Oyj published on 19 August, 2013 a Stock Exchange Release
where it announced that "Ingman Group Oy Ab's share capital in Etteplan Oyj's
share capital and voting rights has through trades completed on August 16, 2013
exceeded 30% level."
According to Finnish Securities Markets Act Chapter 11, section 19 a shareholder
whose portion exceeds three-tenths of the voting rights carried by the shares of a
company after the share of the company has been admitted to public trading (a party
under the obligation to launch a bid) shall launch a takeover bid for all the
remaining shares and securities entitling to its shares issued by the company.
NASDAQ OMX Helsinki transfers the shares of Etteplan Oyj to the Observation
segment on the grounds of the Rules of the Exchange (rule 2.2.8.2 article (iv)).
Rules of the Exchange rule 2.2.8.2 article (iv): "The company is subject to
a public bid or a bidder has disclosed its intention to make a bid
for the company."
The purpose of the Observation segment is to alert the market to special
facts and circumstances or actions pertaining to the subject issuer or security.

ETTEPLAN OYJ:N OSAKKEET TARKKAILULISTALLE
Etteplan Oyj julkisti 19.8.2013 pörssitiedotteen, jonka mukaan "Ingman Group Oy Ab:n
osuus Etteplan Oyj:n osakepääomasta ja äänimäärästä on 16.8.2013 tehdyillä kaupoilla
ylittänyt 30 %:n tason."
Arvopaperimarkkinalain 11 luvun 19 §:n pykälän mukaisesti osakkeenomistajan, jonka
ääniosuus kasvaa yli 30 prosentin kohdeyhtiön osakkeiden äänimäärästä
(tarjousvelvollisuusraja) sen jälkeen, kun kohdeyhtiön osake on otettu
kaupankäynnin kohteeksi säännellylle markkinalle (tarjousvelvollinen), on tehtävä
julkinen ostotarjous kaikista muista kohdeyhtiön liikkeeseen laskemista osakkeista ja niihin
oikeuttavista kohdeyhtiön liikkeeseen laskemista arvopapereista.
NASDAQ OMX Helsinki siirtää Etteplan Oyj:n osakkeet Pörssin sääntöjen
2.2.8.2 kohdan (iv) perusteella tarkkailulistalle.
Pörssin säännöt 2.2.8.2 kohta (iv): "Yhtiö on julkisen ostotarjouksen kohteena
tai ostotarjouksen tekijä on julkistanut aikomuksensa tehdä kyseisestä yhtiöstä ostotarjouksen."
Tarkkailulistalle siirtämisen tarkoituksena on ilmoittaa markkinoille kyseistä
liikkeeseenlaskijaa tai arvopaperia koskevasta erityisestä seikasta tai toimenpiteestä.
