Donnybrook Announces Results of Annual and Special Meeting of Shareholders and Corporate Update


CALGARY, ALBERTA--(Marketwired - Sept. 9, 2013) - Donnybrook Energy Inc. ("Donnybrook" or the "Company") (TSX VENTURE:DEI) reports that at its annual and special meeting of shareholders of the Company ("Shareholders") held on September 6, 2013 (the "Meeting"), Shareholders approved all items of business, including the previously announced proposed consolidation of its common shares ("Common Shares") and name change.

At the Meeting, Shareholders approved a special resolution to consolidate the issued and outstanding Common Shares on the basis of one (1) post-consolidation Common Share for up to every forty-three (43) pre-consolidation Common Shares, or such lesser ratio that the board of directors of the Company (the "Board"), in its sole discretion, may determine to be appropriate (the "Consolidation"). Shareholders also approved a special resolution to change the name of the Company to "Deca Exploration Inc." or such other name as the Board may determine to approve (the "Name Change").

Additionally, Shareholders approved an amendment to the Company's by-laws relating to the advance notice for the nomination of directors (the "Advance Notice By-Law"). The Advance Notice By-Law fixes deadlines for submitting director nominations to the Company prior to any annual or special meeting of Shareholders where director are to be elected, and sets forth the information that a Shareholder must include in their nomination in order for it to be valid. The purpose of the Advance Notice By-Law is to treat all Shareholders fairly by ensuring that all Shareholders, including those participating in a meeting by proxy rather than in person, receive adequate notice of the nominations to be considered at a meeting and can thereby exercise their voting rights in an informed manner. In addition, the Advance Notice By-Law should assist in facilitating an orderly and efficient meeting process. The Company is assessing the impact of the recently announced proposed class action on its pursuit of strategic alternatives and the maximization of Shareholder value.
