Indico Announces Private Placement


VANCOUVER, BRITISH COLUMBIA--(Marketwired - Nov. 13, 2013) -

Indico Resources Ltd. ("Indico" or the "Company") (TSX VENTURE:IDI) is pleased to announce that it has arranged, subject to the acceptance of the TSX Venture Exchange, a non-brokered private placement of up to 20,000,000 units (each a "Unit") at a price of $0.10 per Unit for gross proceeds of $2,000,000 (the "Private Placement"). Each Unit will be comprised of one common share in the capital of the Company and one common share purchase warrant (each a "Warrant"). Each Warrant will entitle the holder to purchase one additional common share at an exercise price of $0.15 per share for a period of three years from the closing of the Private Placement, subject to Indico's right to accelerate the exercise of the Warrants if the closing price of Indico's shares on the TSX Venture Exchange is equal to or exceeds $0.30 per share for a period of 10 consecutive trading days between the expiry date of the four month hold period and the date of expiry of the Warrants.

Finder's fees may be payable on a portion of the Private Placement, in accordance with the policies of the TSX Venture Exchange.

All securities issued in the Private Placement will have a hold period in Canada of four months from the closing of the Private Placement.

The net proceeds from the Private Placement are intended to be used to further exploration of the Company's Ocaña porphyry copper-gold project in Peru and for general working capital purposes.
