Good Sam Enterprises, LLC Announces Completion of Cash Tender Offer for 11.50% Senior Secured Notes Due 2016

LINCOLNSHIRE, IL--(Marketwired - Dec 5, 2013) -  Good Sam Enterprises, LLC ("GSE" or the "Company") announced today the completion of its previously announced cash tender offer (the "Tender Offer") to purchase any and all of its outstanding 11.50% Senior Secured Notes due 2016 (the "Notes"). The Tender Offer expired at 11:59 p.m., Eastern Standard Time (EST), on December 4, 2013. 

 As previously announced, approximately $213.6 million aggregate principal amount of the Notes were validly tendered and not validly withdrawn prior to 5:00 p.m. EST, on November 19, 2013 (the "Early Tender Deadline"). No additional Notes have been tendered since the Early Tender Deadline. Payment for Notes validly tendered and not validly withdrawn on or prior to the Early Tender Deadline and accepted for payment was made on November 20, 2013.

 Substantially concurrently with the closing of the Company's previously announced debt financing, the Company irrevocably called for redemption on December 20, 2013 all of the Notes that were not tendered pursuant to the Tender Offer, at the redemption price of $1,086.25 for every $1,000 principal amount of Notes redeemed plus accrued and unpaid interest to, but not including, the date of redemption. Prior to the completion of the redemption, the Company satisfied and discharged the indenture governing the Notes by depositing the redemption price and accrued interest to, but not including, the redemption date in trust in accordance with the satisfaction and discharge provisions of the indenture. Following the redemption, no principal amount of Notes will remain outstanding.
