Alliance Group and Alliance Oil announce the final timetable with respect to the amalgamation between Alford and Alliance Oil
The Boards of Directors of Lambros Overseas S.A. and OJSC Alliance Group (together “Alliance Group”) and of Alliance Oil Company Ltd. (“Alliance Oil”) today announce that they have now received all the necessary antitrust clearances in Russia, Germany and Cyprus to complete the amalgamation between Alford Financial Ltd and Alliance Oil.
As previously announced, the last day for trading in Alliance Oil’s Swedish Depository Receipts over its ordinary and preference shares (the “SDRs”) will be on 16 December 2013 whereafter the SDRs will be delisted from NASDAQ OMX Stockholm on 17 December 2013. Relevant amalgamation documents will be filed with the Bermuda Registrar of Companies (the “BROC”) as soon as possible and the BROC is expected to issue a certificate of amalgamation on 17 December 2013 whereby the amalgamation becomes effective. Upon the issuance of such certificate, funds for the cash consideration will be transferred to the settlement account with SEB. Holders of SDRs over preference shares will receive pro rata dividend payment for the period between the previous record date (29 November 2013) up to and including 17 December 2013, and the record date for the right to receive the cash consideration is 19 December 2013. Payment of the cash consideration to the holders of the SDRs in Alliance Oil will be made on 27 December 2013.
