Paris, June 20, 2014 - The main family shareholders of the Zodiac Aerospace company on June 19, 2014 have completed and registered with the French Tax Authority a collective retention agreement pursuant to Articles 787 B and 885 I of the French General Tax Code. This collective retention agreement runs for two years and may be tacitly renewed in 12-month periods.
Shareholders who are company officers or who hold over 5% of the capital or voting rights who have signed these agreements are: the Louis Desanges family, the Didier Domange family, the Vincent Gerondeau family, the Robert Maréchal family, the Maurice Pinault family, the Marc Schelcher family and the Olivier Zarrouati family.
In addition, it should be noted that certain family shareholders agreed a non-transferability undertaking on June 18, 2012 in order to consolidate their collective retention agreements within the specific tax regimes. This undertaking, initially agreed for one year, is still in effect and may be tacitly renewed in 12-month periods. Apart from the non-transferability undertaking, it allows for respite on 10% of the number of shares promised by each signatory, provided the aggregate of the shares subject to the agreement does not come to represent less than 20% of the capital and voting rights of Zodiac Aerospace.
The shares subject to the aforementioned agreements currently represent around 23% of the capital and 36% of the gross total voting rights attached to shares issued by Zodiac Aerospace.
