Goldman Holdings Ltd. Reports Shareholdings of Bedrocan Resulting From a Qualifying Transaction

TORONTO, ONTARIO--(Marketwired - Aug. 26, 2014) - Goldman Holdings Ltd. ("Goldman") reports that in connection with the completion of the qualifying transaction ("Qualifying Transaction") of Bedrocan Cannabis Corp. (the "Company"), formerly POCML 2 Inc. ("POCML2"), Goldman has ownership and control over 9,668,750 common shares ("Shares") of the Company, representing approximately 14.32% of the issued and outstanding Shares of the Company. The Shares were issued to Goldman in exchange for 9,668,750 common shares of Bedrocan Canada Inc. ("Bedrocan") previously held by Goldman.

Pursuant to the Qualifying Transaction, Bedrocan amalgamated with 2418519 Ontario Inc., a wholly owned subsidiary of POCML2, to continue as an amalgamated company. Shareholders of Bedrocan were issued one common share of POCML2 for every one Bedrocan common share held immediately prior to the completion of the amalgamation.

The Shares were acquired by Goldman for investment purposes. Goldman, or its joint actors, may from time to time acquire additional securities of the Company, dispose of some or all of the existing or additional securities it holds or will hold, or may continue to hold its current position.
