Westgrund AG - EUR 140m Capital Increase Completed Successfully

Berlin, 25th September 2014 - WESTGRUND AG has today successfully completed
its EUR 140m capital increase announced on 9th September 2014. All 40
million new shares have been placed with existing and new investors at a
price of EUR 3.50 per share.
After a successful pre-placement of new shares in the amount of c.EUR 80m
the remainder has now been subscribed to or placed as part of the rights
issue. The new shares issued as part of the pre-placement had already been
registered for trading in the Prime Standard of the Frankfurt stock
exchange and the regulated market of the Dusseldorf stock exchange, and
have started trading on 15th September 2014. The remaining new shares are
expected to be registered for trading on 26th September 2014 and start
trading on 29th September 2014. WKN and ISIN of old and new share are
identical (ISIN DE000A0HN4T3/WKN A0HN4T). The new shares are fully entitled
to profit from 1st January 2014.
The capital increase was substantially oversubscribed, which reflects the
strong interest from investors. After closing of this capital raise the
free float rises from previously below 20% to over 50% of common shares.
Combined with a now significantly higher market capitalization the
management board expects a strong increase in daily trading volumes of
Westgrund's shares.
The capital measure was facilitated by Berenberg and Baader Bank as Joint
Global Coordinators and Joint Bookrunners. Arbireo Capital AG acted as
Financial Advisor to the company. Heuking Kühn Lüer Wojtek in Cologne acted
as legal advisor to Westgrund AG. The banks were advised by Gleiss Lutz
Hootz Hirsch in Frankfurt am Main. Wecken & Cie were advised by Rödl &
Partner in Munich.
