Och-Ziff Capital Management Group LLC Announces Offering of Senior Notes

NEW YORK, NY--(Marketwired - November 13, 2014) - Och-Ziff Capital Management Group LLC (NYSE: OZM) ("Och-Ziff" or the "Company") today announced that its indirect subsidiary, Och-Ziff Finance Co. LLC, intends to offer, subject to market and other conditions, senior notes. The notes will be fully and unconditionally guaranteed on an unsecured basis by the Company's indirect subsidiaries OZ Management LP, OZ Advisors LP and OZ Advisors II LP. Och-Ziff intends to use the net proceeds from the sale of the notes to repay outstanding borrowings under the Company's Delayed Draw Term Loan, with any remaining net proceeds to be used for general corporate purposes.

The notes will be offered and sold to qualified institutional buyers in the United States pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and outside the United States pursuant to Regulation S under the Securities Act.

The notes have not been registered under the Securities Act or any state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state laws.
