Change in Reporting Period

Effective February 2013, the Company changed its fiscal year end to October 31st to conform to the same change in fiscal year end made by its wholly-owned Canadian subsidiary Currency Exchange International of Canada Corp. ("CXIC"), to comply with the reporting period for Canadian chartered banks as part of the ongoing process of CXIC applying for a bank license in Canada. As a result, the consolidated financial statements are presented as the year ended October 31, 2014 compared to the thirteen month period ended October 31, 2013. The MD&A presents financial information for the three month period and year ended October 31, 2014 compared to the four month and thirteen month periods ended October 31, 2013.

Highlights for the Year Ended October 31, 2014 Compared to the Thirteen Month Period Ended October 31, 2013:

  • Revenues increased 38% to $22.0 million for the year ended October 31, 2014 from $16.0 million for the thirteen month period ended October 31, 2013;

  • Net operating income increased 64% to $7.2 million for the year period ended October 31, 2014 from $4.4 million for the thirteen month period ended October 31, 2013;

  • Net income increased 29% to $3.4 million for the year ended October 31, 2014 compared to $2.6 million for the thirteen month period ended October 31, 2013. Net income for the thirteen month period ended October 31, 2013 included a one-time $458,000 non-cash gain ($Nil for the year ended October 31, 2014) on the increase in fair value of the Company's warrant liability. Excluding the one-time gain in the comparative period, net income would have increased $1.2 million or 47% (the warrants were either exercised or expired on September 8, 2013);

  • The Company acquired certain assets of U.S. Exchange House, Inc ("USEH") pertaining to the wholesale bank note operations located in the United States and Canada on March 28, 2014. Assets acquired from USEH were fully merged and integrated into the Company's operations; and

  • Since October 31, 2013, the Company added six branch locations and 105 new wholesale relationships representing 2,533 new transacting locations, bringing the total number of transacting locations to 8,274.

The Company's revenue has grown due to the addition of the new branch locations, the 2,533 new transacting locations added during the year (44% increase), the opening of a new vault operation in Los Angeles and the additional revenue from customer trading relationships acquired from USEH in March 2014. Certain expenses, including salaries and benefits, stock based compensation, rent, and other general and administrative expenses were higher during the period to support the expansion and revenue growth detailed above.

Seasonality is reflected in the timing of when foreign currencies are in greater or lower demand. In a normal operating year there is seasonality in the Company's operations with higher revenues generated from March until September and lower revenues from October to February. This coincides with peak tourism seasons in North America when there are generally more travelers entering and leaving the United States and Canada.
