Den 22 juni 2015 offentliggjorde AB Geveko ett pressmeddelande med information om en riktad nyemission till Solix Group AB till teckningskursen 1,03 SEK per aktie, innebärande att Solix Group AB efter verkställd nyemission kommer att äga mer än 90 % av aktierna i AB Geveko. Enligt pressmeddelandet har Solix Group AB förbundit sig att omgående efter verkställd nyemission påkalla tvångsinlösen av resterande aktier med yrkande om ett lösenbelopp om 4,00 SEK per aktie och i anslutning därtill inge ansökan om avnotering av bolagets aktier från Nasdaq Stockholm.
Enligt gällande regelverk blir ett bolag noterat på Nasdaq Stockholm observationsnoterat om bolaget är föremål för ett offentligt uppköpserbjudande eller ett liknande förfarande eller om en budgivare har offentliggjort sin avsikt att lämna ett sådant erbjudande med avseende på bolaget.
Med anledning av ovanstående beslutar NASDAQ OMX Stockholm AB att B-aktierna i AB Geveko (GVKO B, ISIN-kod SE0000105264, orderboks-ID 813) ska observationsnoteras.
On June 22, 2015, AB Geveko published a press release with information about a share issue directed to Solix Group AB to the subscription price SEK 1.03, meaning that Solix Group AB, after the share issue, will be the owner of more than 90% of the shares in AB Geveko. According to the press release, Solix Group AB has committed to immediately after the completion of the share issue initiate compulsory redemption proceedings of the remaining shares to the price SEK 4.00 per share and in connection with this apply for delisting of the company’s shares from Nasdaq Stockholm.
The current rules of Nasdaq Stockholm state that a listed company will be given observation status if the company is subject to a public offer or a similar procedure or if a bidder has disclosed its intention to raise such a bid in respect of the company
With reference to the above, NASDAQ OMX Stockholm AB has decided that the B-shares in AB Geveko (GVKO B, ISIN code SE0000105264, order book ID 813) shall be given observation status.
