Rockefeller Hughes Announces Extension of Warrant Expiry

Rockefeller Hughes Corporation ("Rockefeller" or the "Company") (TSX VENTURE:RHC) announces that the TSX Venture Exchange has consented to the extension of the time to exercise warrants previously issued on December 6, 2013 and March 20, 2014. A total of 8,333,333 warrants issued as part of a private placement on December 6, 2013, were due to expire on December 6, 2015, and have been extended to now expire December 16, 2018. A total of 12,937,255 warrants issued as part of Rockefeller's initial public offering on March 20, 2014, were due to expire on March 20, 2016, and have been extended to now expire December 16, 2018. All warrants had otherwise identical terms and are exercisable at a price of $0.25 to acquire one common share of the Company.

Due to the economic environment the Company now finds itself in, Rockefeller would like to be able to offer warrantholders a chance to have a more realistic timeframe to make a decision regarding exercise of the warrants. A longer expiry date will also provide the Company with the possibility that the warrants may be exercised in the future when, hopefully, the industry prospects improve and there is an opportunity to benefit from the additional funds that may become available.
