Capio to acquire two Teres clinics in Norway


Capio has signed an agreement with Aleris to acquire two clinics in Norway,
Teres Stokkan and Teres Tromso. These clinics are located in Trondheim in The
Central Norway Regional Health Authority (Helse Midt-Norge RHF) and in Tromso in
Northern Norway Regional Health Authority (Helse Nord RHF) with main operations
in plastic surgery and orthopedics.
These add-on acquisitions are made in conjunction with Aleris acquisition of
Teres Medical Group and give Capio, through its Norwegian operation Capio
Volvat, national presence in Norway. Total annual sales 2014 was 77.7 MNOK.
Enterprise value (EV) is 28 MNOK. Closing of the transaction is expected during
the fourth quarter 2015. The acquisition is estimated to contribute positively
to the Group’s earnings per share from 2016.

The transaction is subject to final approval by the Norwegian competition
authority, expected on August 31, 2015.
