Distribution of dividends and ISA-exemption from prospectus requirements
regarding equity awards to Israeli employees


At its meeting held on March 1st, 2016 the board of directors resolved to:

  - distribute a gross dividend of $ 0.75 per share. The record date for
    the distribution will be March 17th, 2016, the ex-dividend date will be
    March 18th, 2016 and the payment date will be March 22nd, 2016. The tax
    withholding rate will be approximately 20%; and

  - acknowledge and approve the use of the exemption granted to AVT by the
    Israeli Securities Authority ("ISA") which exempts AVT from the
    prospectus requirements under the laws of the State of Israel with
    respect to awards made to employees pursuant to AVT's employee equity
    based incentive plan ("AVT's 2009 Israeli Incentive Plan"). The
    resolution enables AVT to grant equity awards pursuant to AVT's 2009
    Israeli Incentive Plan to more than 35 AVT employees in Israel during
    any consecutive twelve-month period.

Israeli grantees pursuant to the Plan to whom the exemption applies will
receive detailed information in the form of a Statement of Complementary
Information for Employees Participating in the Plan, together with a copy
of AVT's 2009 Israeli Incentive Plan from the offices of AVT at 6 Hanagar
St., Hod Hasharon 45241, Israel.
