Following market rumors, CompuGroup Medical SE confirms discussions with
Agfa-Gevaert NV. CompuGroup Medical SE has given the Board of Directors of
Agfa-Gevaert NV an indicative, non-binding indication of interest for the
acquisition of all shares in Agfa-Gevaert NV by way of a voluntary
conditional public takeover offer of CompuGroup Medical SE to all
shareholders of Agfa-Gevaert NV.

The discussions between the companies are at an early stage, no response
has been given to the indication of interest and CompuGroup Medical SE has
not been able to verify or discuss any of the assumptions and conditions
underlying its indi-cation of interest. There is therefore no certainty as
to whether and under which conditions CompuGroup Medical SE may make a
public tender offer to the share-holders of Agfa-Gevaert NV.

so require.
