Orletto Announces Receipt for Final Prospectus

Benoit Chotard, President of Orletto Capital inc. ("Orletto" or the "Corporation") (TSX VENTURE:OLE.P), a Capital Pool Company, is pleased to announce that it has obtained a receipt for its final prospectus (the "Prospectus") in connection with a proposed offering of units (the "Units") of the Corporation for minimum aggregate gross proceeds of $6,000,000 and maximum aggregate gross proceeds of $10,000,000 (the "Offering"), at a price of $0.75 per Unit (the "Offering Price"). The Offering will be conducted on a commercially reasonable basis through Richardson GMP Limited (the "Agent"). The completion of the Offering forms part of Orletto's intended qualifying transaction whereby Orletto intends to amalgamate with Devonian Health Group Inc. to form an entity to be named "Devonian Health Group Inc./Groupe Santé Devonian Inc." ("Amalco"). Upon completion of the amalgamation, Amalco will have the following three classes of issued and outstanding shares: Amalco Subordinate Voting Shares, Amalco Subordinate Exchangeable Voting Shares and Amalco Multiple Voting Shares.

Each Unit consists of one share in the capital of Orletto and one-half of one share purchase warrant (each whole share purchase warrant, a "Warrant"). Upon closing, each Warrant will entitle its holder to purchase one Amalco Subordinate Voting Share (a "Warrant Share"), at a price of $1.10 per Warrant Share, for a period of 24 months from the closing. The Units will be sold pursuant to the terms and conditions of an agency agreement dated October 27, 2016 between Orletto, Devonian and the Agent. The Offering Price was determined based upon arm's length negotiations among Orletto, Devonian and the Agent. The completion of the amalgamation and the minimum offering (the "Transaction") are mutually conditional.

The Offering is expected to close on or about November 25, 2016 and is subject to certain customary conditions, regulatory approvals and applicable shareholder approvals. The TSX Venture Exchange (the "TSXV") has conditionally approved the Transaction and the listing of the Amalco Subordinate Voting Shares. Listing is subject to the Corporation fulfilling all of the requirements of the TSXV.
