VANCOUVER, British Columbia, Aug. 31, 2018 (GLOBE NEWSWIRE) -- Ross J. Beaty, of 1550 – 625 Howe Street, Vancouver, British Columbia, V6C 2T6, today announced that on August 31, 2018 he acquired ownership of 6,455,125 common shares (the “Common Shares”) of Luminex Resources Corp. (“Luminex”) and 131,250 stock options of Luminex (“Options”), pursuant to a plan of arrangement, whereby Lumina Gold Corp. (“Lumina”) spun out certain of its assets to its existing shareholders through its wholly-owned subsidiary Luminex. Luminex is a company with a head office at 410 – 625 Howe Street, Vancouver, British Columbia, V6C 2T6.
Pursuant to the Plan of Arrangement, each existing Lumina shareholder received one new share of Lumina and 0.15 of a Common Share for each common share of Lumina held. Each Lumina optionholder received one replacement Lumina option and 0.15 of one Option for each Lumina option held.
Prior to the acquisition, Mr. Beaty did not own, directly or indirectly, or exercise control or direction over any Common Shares or Options, which represented 0.00% of the total number of issued and outstanding Common Shares and Options prior to the effective date of the Plan of Arrangement.
After the completion of the Plan of Arrangement, Mr. Beaty now owns, directly or indirectly, or exercises control or direction over, 6,455,125 Common Shares and 131,250 Options. The 6,455,125 Common Shares represent approximately 15.72% of the total number of issued and outstanding Common Shares. If all of Mr. Beaty’s Options were exercised, Mr. Beaty would own, directly or indirectly, or exercise control or direction over, approximately 15.99% of the issued and outstanding Common Shares resulting in an increase of 0.27% to Mr. Beaty’s Common Share holdings on a partially-diluted basis.
Mr. Beaty’s acquisition was made for investment purposes. In accordance with applicable securities laws, Mr. Beaty may, from time to time and at any time, acquire additional shares and/or other equity, debt or other securities or instruments (collectively, “Securities”) of Luminex in the open market or otherwise, and reserves the right to dispose of any or all of its Securities in the open market or otherwise at any time and from time to time, and to engage in similar transactions with respect to the Securities, the whole depending on market conditions, the business and prospects of Luminex and other relevant factors.
Mr. Beaty is not currently a party to any agreement in respect of the acquisition, holding, disposition or voting of any securities of Luminex.
Mr. Beaty does not own or control any securities of Luminex with, nor is Mr. Beaty a joint actor with, another entity.
