Telenor Finland Holding Oy publishes offer document concerning its mandatory tender offer; offer period to commence on 29 August 2019

Telenor became a majority shareholder in DNA with 54% of the shares and voting rights on 21 August 2019. The completion of the share transaction triggered an obligation for Telenor to make a mandatory public tender offer for the remaining outstanding shares in DNA. Telenor announced today that the tender offer will start on Thursday 29 August 2019 and it is estimated to end on 26 September 2019.

The Finnish language version of the tender offer document is available as of 28 August 2019 on the internet at www.telenor.com/telenor-ostotarjous-dna. The English language version of the document is available at www.telenor.com/telenor-offer-for-dna as of 28 August 2019.

Pursuant to the Finnish Securities Markets Act, the DNA Board must prepare a public statement regarding the tender offer. The statement must include a well-founded assessment of the tender offer from the perspective of DNA and its shareholders as well as of the strategic plans presented by the offeror in the tender offer document and their likely effects on the operations of, and employment at, DNA. The statement will be published in due course.

Telenor acquired DNA’s two main shareholders’, Finda Telecoms Oy and PHP Holding Oy’s, shares in DNA for EUR 20.90 per share in cash.

DNA’s operations will continue as normal and the transaction has no impact on our customers’ services.
