DNA Plc: Composition of DNA's Nomination Committee

DNA's three largest shareholders have nominated the following members to the Shareholders' Nomination Committee:

  • Gaute Simen Gravir, Director, Telenor Finland Holding Oy
  • Esko Torsti, Head of Non-listed Investments and Responsibility, Ilmarinen Mutual Pension Insurance Company
  • Satu Huber, Chief Executive Officer, Elo Mutual Pension Insurance Company 

In addition, Pertti Korhonen, Chairman of DNA's Board of Directors, will serve as the Nomination Committee's expert member.

The Committee shall elect the chairman among its members in its constitutive meeting.

The committee consists of three members nominated by the shareholders. The three shareholders entered in the company's shareholders' register maintained by Euroclear Finland Ltd, whose portion of the votes produced by all the shares in the company according to the shareholders' register are the greatest on 1 September each year, have the right to appoint nomination committee members.

The Shareholders’ Nomination Committee is tasked with the preparation of proposals for the General Meeting regarding Board members’ election and compensation.
