Spectrum Group International, Inc. Announces Commencement of a Self-Tender Offer to Purchase Up to 2,500 of Its Common Shares


SANTA ANA, Calif., Oct. 15, 2019 (GLOBE NEWSWIRE) -- Spectrum Group International, Inc. (OTCPK:SPGZ) (“SGI” or the “Company”), an integrated network of leading companies concentrating on numismatics (coins) and paper currency, announced today the commencement of a self-tender offer (the “Offer”) to purchase for cash up to 2,500 common shares, par value $0.01 of the Company (the “Common Shares”). The purchase price is $700 per Common Share.

The Offer will expire at 5:00 pm, Eastern Time, on Friday, November 22, 2019, unless extended by SGI (the “Expiration Time”).  Tenders of the Common Shares must be made prior to the Expiration Time and may not be withdrawn.  However, if the Expiration Time is extended and closing of the Offer has not occurred by December 13, 2019, shareholders may withdraw their previously tendered Common Shares.

Participation in the Offer is voluntary.  The Offer is not conditioned upon any minimum number of Common Shares being tendered.  However, if the Offer is oversubscribed, the Company will prorate the number of shares accepted for payment. 

The Offer is subject to various terms and conditions. Specific instructions and an explanation of the terms and conditions of the Offer are contained in the offer to purchase, dated October 14, 2019 (the “Offer to Purchase”) and related materials that are being mailed to shareholders.
