TORONTO, Jan. 22, 2020 (GLOBE NEWSWIRE) -- Profound Medical Corp. (TSX:PRN; NASDAQ: PROF) (“Profound” or the “Company”) is pleased to announce the pricing of an underwritten public offering (the “Offering”) of 2,950,000 common shares of the Company (the “Common Shares”), at a price of US$11.65 per Common Share (the “Offering Price”).
The aggregate gross proceeds to the Company are expected to be US$34.4 million. The Company has also granted the underwriters an over-allotment option to purchase up to an additional 442,500 Common Shares at the Offering Price, exercisable in whole or in part at any time up to 30 days from the closing.
Cowen is acting as the sole book-running manager for the Offering. Raymond James Ltd. is acting as the co-manager for the Offering.
The Offering is being made pursuant to a prospectus supplement (the “Prospectus Supplement”) to the Company’s short form base shelf prospectus dated October 17, 2019 (the “Base Shelf Prospectus”), which the Company will file with the securities commissions or other security regulatory authorities in each of the provinces of Canada, other than Québec. The Prospectus Supplement will also be filed with the U.S. Securities and Exchange Commission (“SEC”) as part of the Company’s registration statement on Form F-10 (the “Registration Statement”) previously filed under the multijurisdictional disclosure system adopted by the securities regulatory authorities in Canada and in the United States. The net proceeds of the Offering are expected to be used: (i) to fund the commercial launch of TULSA-PRO® in the United States and the continued commercialization of TULSA-PRO® and SONALLEVE® globally; and (ii) for working capital and general corporate purposes.
