Enlivex Therapeutics Announces $16.75 Million Registered Direct Offering


Nes-Ziona, Israel, March 02, 2020 (GLOBE NEWSWIRE) -- Enlivex Therapeutics Ltd. (Nasdaq: ENLV), a clinical-stage immunotherapy company, today announced that it has entered into definitive agreements with certain accredited and healthcare-focused institutional investors, including Armistice Capital, for the purchase in a registered direct offering of an aggregate of 2,093,750 ordinary shares of the Company and warrants to purchase up to an aggregate of 2,093,750 ordinary shares at a combined purchase price of $8.00 per share and associated warrant.

H.C. Wainwright & Co. is acting as the exclusive placement agent for the offering.

The warrants will have an exercise price of $9.00 per ordinary share, an exercise period commencing immediately upon issuance and a term of two years.

The gross proceeds to the Company from the offering, before deducting the placement agent's fees and other estimated offering expenses payable by the Company, are expected to be $16.75 million. The Company intends to use the net proceeds for clinical, regulatory, manufacturing and research and development activities, potential acquisitions and in-licensing, as well as for working capital and other general corporate purposes.

The offering is expected to close on or about March 4, 2020, subject to the satisfaction of customary closing conditions.
