GeoVax Announces Closing of $1 Million Private Placement


ATLANTA, GA, June 29, 2020 (GLOBE NEWSWIRE) -- via NEWMEDIAWIRE – GeoVax Labs, Inc. (OTCQB: GOVX), a biotechnology company developing human immunotherapies and vaccines against infectious diseases and cancer, announced today the closing, on June 26, 2020, of a private placement offering (the “Offering”) whereby the Company entered into a securities purchase agreement (the “Purchase Agreement”) with an institutional investor (the “Investor”). Pursuant to the Purchase Agreement, the Company issued the Investor convertible senior secured debentures (the “Debentures”) in the aggregate principal amount of $1,200,000 (including a 12.5% original issue discount) and Warrants to purchase an aggregate of 2,400,000 shares of the Company’s common stock (the “Warrants”).

The Debentures accrue interest at a rate of 5% per annum and are initially convertible into shares of the Company’s common stock at a conversion price of $0.50 per share, subject to adjustment. The Debentures mature one year from the date of issuance, are secured by substantially all of the Company’s assets, and contain customary events of default.

The Debentures are mandatorily convertible into common stock upon the Company’s consummation of a public offering with gross proceeds of $6 million or more at the lower of the conversion price or 80% of the offering price for the offering. Pursuant to the Purchase Agreement, the Investor also received Warrants to purchase shares of the Company’s common stock equal to the number of shares of common stock initially issuable upon conversion of its Debenture as of the date of issuance. The Warrants are exercisable for a period of five years from the date of issuance at a price of $0.50 per share, subject to adjustment.
