Highwoods Announces Early Results of Tender Offer for Up to $150,000,000 of Outstanding 3.20% Notes due 2021


RALEIGH, N.C., Aug. 13, 2020 (GLOBE NEWSWIRE) -- Highwoods Properties, Inc. (NYSE: HIW) (the “Company”) announced today the early results of the previously announced cash tender offer (the “Offer”) by Highwoods Realty Limited Partnership, the operating partnership through which the Company conducts its operations (the “Operating Partnership”), for up to an aggregate principal amount of $150,000,000 (the “Tender Cap”) of its outstanding 3.20% Notes due 2021 (the “Notes”).

The terms and conditions of the Offer are set forth in the offer to purchase, dated July 30, 2020 (the “Offer to Purchase”). The Offer will expire at 12:00 midnight, New York City time, at the end of August 26, 2020, unless extended or earlier terminated by the Operating Partnership.

As of 5:00 p.m., New York City time, on August 12, 2020 (such date and time, the “Early Tender Deadline”), according to information provided by D.F. King & Co., Inc., the tender and information agent for the Offer, the aggregate principal amount of the Notes set forth in the table above under “Principal Amount Tendered at Early Tender Deadline” had been validly tendered and not validly withdrawn in the Offer. Withdrawal rights for the Notes expired at 5:00 p.m., New York City Time, on August 12, 2020.

The total consideration (the “Total Consideration”) paid in the Offer for Notes validly tendered and accepted for purchase will be determined in the manner described in the Offer to Purchase by reference to the fixed spread for the Notes specified in the table above plus the yield to maturity of the Reference U.S. Treasury Security specified in the table above and in the Offer to Purchase and will include an early tender premium of $30.00 per $1,000 principal amount of the Notes accepted for purchase (the “Early Tender Premium”). The Total Consideration will be determined at 10:00 a.m., New York City time, today.

The Company expects to announce the pricing of the Offer, the amount of Notes accepted for purchase, and the proration rates for the Notes later today.

Only holders of Notes who validly tendered and did not validly withdraw their Notes at or prior to the Early Tender Deadline are eligible to receive the Total Consideration for the Notes accepted for purchase. Holders of Notes will also receive accrued and unpaid interest on their Notes validly tendered and accepted for purchase from, and including, the most recent interest payment date for the Notes to, but excluding, the settlement date.

The Operating Partnership expects to satisfy the financing condition to the Offer later today and, on August 14, 2020, expects to pay for the Notes that were validly tendered prior to or at the Early Tender Deadline and that are accepted for purchase.

Since the Offer for the Notes was fully subscribed as of the Early Tender Deadline, the Operating Partnership will not accept for purchase any Notes validly tendered after the Early Tender Deadline.
