SunHydrogen Announces $10.0 Million Registered Direct Offering


SANTA BARBARA, CA , Feb. 25, 2021 (GLOBE NEWSWIRE) -- SunHydrogen, Inc. (OTC: HYSR), the developer of a breakthrough technology to produce renewable hydrogen using sunlight and water, today announced that it has entered into a securities purchase agreement with a single institutional investor to purchase 95,238,096 shares of its common stock and warrants to purchase an aggregate of up to 71,428,572 shares of common stock, in a registered direct offering. The combined purchase price for one share of common stock and a warrant to purchase 0.75 of a share of common stock is $0.105. The warrants have an exercise price of $0.12 per share, will be immediately exercisable and will expire five years from the issue date.

H.C. Wainwright & Co. is acting as the exclusive placement agent for the offering.

The gross proceeds from the registered direct offering are expected to be approximately $10.0 million. The registered direct offering is expected to close on or about March 1, 2021, subject to the satisfaction of customary closing conditions.
