Proceedings at the Annual General Meeting held on 27 September 2007


Today, Glunz & Jensen held its annual general meeting. The shareholders took
note of the Chairman's report, the Annual Report for 2006/07 was adopted, and
the Management and the Board of Directors were discharged of their obligations. 

The proposal by the Board of Directors not to distribute any dividend was
adopted. 

All members of the Board of Directors elected by the general meeting were up
for election and were reelected, with the exception of Per Møller, who had
announced prior to the general meeting that he did not wish to be reelected.
The Board of Directors recommended to the general meeting that Henning Skovlund
be elected new member of the Board of Directors, which was adopted. The members
of the Board of Directors are now Peter Falkenham, William Schulin-Zeuthen,
Ulrik Gammelgaard, Henning Skovlund and the two employee representatives Steen
Andreasen and Klaus Øhrgaard. 

The proposals by the Board of Directors to amend the Articles of Association
were adopted. The most important amendments were: 

- A change of the means of convening general meetings; 
- Introduction of the possibility of electronic communication between the
company and its shareholders; 
- Abolition of the requirement that at least half of the share capital must be
represented for amendments to the Articles of Association to be adopted; 
- Authorisation of the Board of Directors to distribute extraordinary dividend. 
 
As half of the share capital was not represented, the general meeting did not
form a quorum, for which reason the proposed amendments of the Articles of
Association are expected to be finally adopted at an extraordinary general
meeting to be convened as soon as possible. 

The Board of Directors' proposed guidelines for incentive programmes for the
Management were adopted, and a provision concerning this will therefore be
incorporated into the Articles of Association. 

The general meeting authorised the Board of Directors to acquire treasury
shares with a value of up to 10% of the company's share capital. 

KPMG C.Jespersen was reappointed as the company's auditor.

Immediately after the general meeting, the Board of Directors held its first
meeting, electing Peter Falkenham as Chairman of the Board.
