Changes in AS Tallinna Vesi Supervisory Council members
Due to the expiry of the term of office of Deniss Boroditš, the City of Tallinn as one of AS Tallinna Vesi’s shareholders appointed Priit Lello as the new member of the Supervisory Council of AS Tallinna Vesi. The powers of Deniss Boroditš expired on 19 September 2011 and Priit Lello was appointed to the Council of AS Tallinna Vesi by the City of Tallinn from 16 November 2011.
Priit Lello is the Legal Director of the City of Tallinn, managing the legal services of the City. The Legal Director is responsible for coordinating the legal issues of the City of Tallinn. The Legal Director has extensive experience in public law, in various sectors of private law, including law of obligations, judicial proceedings, including matters related to constitutional review. Since 1997 Mr. Lello has been working as a lawyer holding various positions within the City and has been providing legal consultations both to City Government as well as to City offices, organizing the legal regulation of the areas of importance to the City, which include the development of the legal solutions for the projects of the development of public water supply system of the local government, all legal matters related to the performance of public duties of the City, legal relationships with the companies where the City is one of the owners. Additionally the Legal Director is experienced in settling legal disputes and in matters of ownership reform and administrative law. Mr. Lello is a Member of Industrial Property Committee. Mr. Lello does not own any shares of AS Tallinna Vesi.
According to the Articles of Association of AS Tallinna Vesi, the City of Tallinn. as a majority shareholder in AS Tallinna Vesi (34.7%) has the right to appoint two Supervisory Council members of AS Tallinna Vesi and United Utilities (Tallinn) BV as the other majority shareholder (35.3%) also has the right to appoint two Supervisory Council members. The City of Tallinn also has the right to present one Supervisory Council member candidate and United Utilities (Tallinn) BV has the right to present two Supervisory Council member candidates to be elected by the annual general meeting of AS Tallinna Vesi shareholders, which also elects the two independent Supervisory Council members.
As of 09 November 2011 the members of AS Tallinna Vesi’s Supervisory Council will be Robert John Gallienne, Leslie Anthony Bell (United Utilities), Simon Gardiner (United Utilities), Brendan Francis Murphy (United Utilities), Rein Ratas (Tallinn City), Toivo Tootsen (Tallinn City), Mart Mägi (independent) and Valdur Laid (independent). The powers of Priit Lello as a member of the Supervisory Council of AS Tallinna Vesi will start on 16 November 2011.
