NEW YORK, March 28, 2019 (GLOBE NEWSWIRE) -- Sichenzia Ross Ference LLP announced today that it represented LiveWell Canada Inc. (“LiveWell”), a Canadian CBD company listed on the Canadian Stock Exchange entering the U.S. markets, in a private placement offering of senior secured convertible notes with institutional investors for total aggregate gross proceeds of $15 million, which includes LiveWell’s previously closed $3 million bridge financing. Investors in this financing also received warrants to purchase an aggregate of 6,000,000 additional common shares of Vitality CBD Natural Health Products, Inc. (“Vitality”), one of the largest industrial hemp cultivation and extraction operations in North America. LiveWell has signed a binding letter of agreement to merge with Vitality CBD. A.G.P./Alliance Global Partners acted as placement agent and financial advisor for the offering.
