Middlefield Banc Corp. Announces Adjournment of Special Meeting of Shareholders Until November 8, 2022


MIDDLEFIELD, Ohio, Nov. 03, 2022 (GLOBE NEWSWIRE) -- Middlefield Banc Corp. (“Middlefield”, or the “Company”) (NASDAQ: MBCN), the bank holding company for The Middlefield Banking Company, announced that it adjourned today’s Special Meeting of Shareholders (the “Special Meeting”) until November 8, 2022.

The Company today convened and then adjourned the Special Meeting to consider and vote on, among other things, a proposal to approve the merger with Liberty Bancshares, Inc. (OTC Markets: LBSI) (“Liberty”), the holding company for Liberty National Bank, (the “Merger Proposal”) pursuant to the terms of the Agreement and Plan of Merger, dated as of May 26, 2022.

The Special Meeting is being adjourned to provide shareholders with additional time to vote on the Merger Proposal.

The required vote to approve the Merger Proposal is two-thirds of Middlefield’s outstanding common stock.   Independent leading proxy advisory firms Institutional Shareholder Services Inc. and Glass Lewis & Co. have recommended a vote FOR the Merger Proposal.

Only shareholders of record on September 22, 2022, are entitled to and are being requested to vote. Shareholders who have already voted do not need to recast their votes unless they wish to change their votes. Shareholders who have not already voted or wish to change their vote are encouraged to do so promptly by executing a new proxy, revoking a previously given proxy, or attending and voting at the meeting, as set forth in the proxy statement and prospectus the Company filed with the Securities and Exchange Commission (the “SEC”) on September 27, 2022 (the “Proxy Statement”).

The Special Meeting was adjourned to 9:00 a.m. ET on November 8, 2022, and will be held via a live webcast.
